Terms of Service

1. Operator and agreement

AKV Technologies operates the website at www.zaizen.dev and the Zaizen software service (together, Zaizen or the Service). In these Terms, “we”, “us” and “our” mean AKV Technologies; “you” means the person or organisation using Zaizen.

By creating an account, purchasing a subscription or using the Service, you agree to these Terms and our Privacy Policy. If you use Zaizen for an organisation, you confirm that you are authorised to accept these Terms for it. If you do not agree, do not use the Service.

2. What Zaizen provides

Zaizen helps people plan, coordinate, inspect and manage software projects and work performed with AI coding agents. Features may connect to repositories, development tools or AI providers that you choose or configure. The features available to you depend on your plan, configuration and the current product offering.

AI-generated plans, code, explanations and other output can be incomplete, inaccurate or unsuitable for your purpose. You are responsible for reviewing output, testing changes and deciding whether to use, merge, publish or deploy them. Zaizen does not guarantee that an AI provider or integration will produce a particular result.

3. Accounts and your responsibilities

You must provide accurate account information, keep credentials secure and notify us if you believe your account has been misused. You are responsible for activity under your account and for obtaining the rights needed to provide any code, files, prompts or other material you submit to the Service.

You must not use Zaizen to violate the law, infringe another person's rights, attack systems, interfere with the Service, or bypass security or usage controls. We may restrict or suspend access where reasonably necessary to address abuse, security risk, non-payment or a material breach of these Terms. We will provide notice where practical and lawful.

4. Your content and generated output

You retain your rights in material you submit to Zaizen. You grant AKV Technologies the limited permission needed to host, process, transmit and display that material to provide the Service, including sending it to the integrations or AI providers selected for your work. Our Privacy Policy explains the related data handling.

As between you and AKV Technologies, you may use output generated for you, subject to any rights in your input, third-party material, open-source components and applicable provider terms. AI output may resemble material generated for other users; we do not promise that it is unique or free of third-party rights. Zaizen and its underlying software, branding and documentation remain the property of AKV Technologies or its licensors.

5. Third-party services

Repositories, AI models, payment processing and other connected services may be provided by third parties under their own terms. Their availability and behaviour are outside our direct control. You are responsible for authorising connections and for any separate charges from providers you use directly, unless a Zaizen checkout clearly says those charges are included.

6. Paid plans, renewal and taxes

If we offer a paid subscription, its price, billing period, included features and any applicable taxes will be shown before you pay. We will not start recurring charges without disclosing that they recur. Unless checkout states otherwise, a subscription renews for the same billing period until cancelled. Material price or plan changes will be communicated before they apply to a future renewal.

Payment processing may be handled by Razorpay. We do not collect or store full payment-card details in Zaizen. Payment and invoice records may be retained as needed for accounting, support and legal obligations.

7. Cancellation and refunds

You may request cancellation of a paid subscription using the cancellation control provided in the Service or by contacting us through Contact. We reserve the right to make cancellation effective at the end of the current paid billing period, in which case access continues until then and the subscription will not renew. At our discretion, we may instead make cancellation effective immediately and provide a time-based pro-rated refund of the unused portion of that billing period. Time already used is not refunded. The pricing and refund terms displayed at checkout and the Cancellation and Refund Policy form part of these Terms.

8. Availability, changes and termination

We work to keep Zaizen available, but software, networks and third-party services may fail or be interrupted. We may maintain, change or discontinue features. If a material change affects a paid subscription, we will provide reasonable notice where practical and explain any available cancellation or refund remedy.

You may stop using Zaizen at any time. We may terminate an account for a material breach, unlawful use or a serious security risk, subject to applicable law. Terms that by their nature must continue, including accrued payment obligations and dispute provisions, survive termination.

9. Warranties and liability

To the extent permitted by applicable law, Zaizen is provided on an “as available” basis without a promise that it will be uninterrupted, error-free or fit for every project. Nothing in these Terms removes rights that cannot lawfully be excluded.

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss arising from use of the Service. Our aggregate liability for claims relating to a paid subscription will not exceed the amount you paid us for that subscription in the 12 months before the event giving rise to the claim. This limit does not apply where the law prohibits it, or to fraud or wilful misconduct.

10. Updates and governing law

We may update these Terms. We will post the updated version with its effective date and give appropriate notice of material changes. Continued use after the updated Terms take effect means you accept them; if you do not, you may stop using the Service and cancel any subscription under the Cancellation and Refund Policy.

These Terms are governed by the laws of India. Subject to any mandatory consumer rights, disputes relating to these Terms or the Service are subject to the courts in Chennai, India.
